Allgemeine Verkaufsbedingungen (AGB) — Yuno

1. Purpose
These General Terms and Conditions of Sale (hereinafter the “GTC”) define the terms of access and use of the SaaS service offered by YUNO (hereinafter the “Service”), as well as the respective rights and obligations of YUNO and the professional client (hereinafter the “Client”).
2. Acceptance
Acceptance of the GTC is materialized by the electronic signature of the quote or the online validation of the purchase order. This acceptance constitutes full acknowledgment of the GTC by the Client, in accordance with Article 1366 of the French Civil Code.
3. Service description
YUNO is a SaaS platform dedicated to improving the manager-employee relationship, measuring engagement, and optimizing the employee experience within companies.
4. Conditions of access to the service
Access to the Service is open only to professionals. The Client is solely responsible for the confidentiality of their login credentials. They agree not to share or resell access to the Service.
5. Client obligations
- Provide accurate information when subscribing,
- Do not use the Service for illegal, defamatory, discriminatory, or public order-violating purposes,
- Do not attempt to tamper with or decompile the platform’s source code,
- Do not solicit or poach YUNO staff (see Article 15).
6. Pricing & Payment terms
Prices are indicated in euros excluding taxes. Payment is made by bank transfer or SEPA direct debit, due 30 days from the invoice issue date.
7. Late payment
Any late payment will result in a penalty equal to 3 times the legal interest rate, as well as a fixed indemnity of €40 for recovery costs (Article L441-10 of the French Commercial Code).
8. Term and termination
The contract is concluded for an initial period of 12 months, renewable by tacit renewal. It may be terminated:
- By the Client: with 30 days’ notice before the annual due date,
- By YUNO: in the event of a serious breach not remedied within 15 days after formal notice.
9. Service Level Agreement (SLA)
YUNO guarantees a monthly availability of the Service of 99.5% excluding planned maintenance (with 48h notice).
In the event of non-compliance with the SLA in a given quarter, the Client may request a credit equivalent to 5% of the monthly amount, limited to one quarter.
Support is provided Monday to Friday, from 9am to 6pm (UTC+1), via email or contact form.
10. Personal data and processing (GDPR)
YUNO acts as a processor within the meaning of the GDPR. The processing terms are detailed in Annex A – Data Processing Agreement (DPA).
The Client remains responsible for processing their employees’ data.
YUNO undertakes to:
- Process data only on the Client’s instructions,
- Implement appropriate technical and organizational security measures,
- Maintain a register of subsequent subprocessors and notify 15 days in advance in case of changes,
- Inform the Client of any data breach within 72 hours.
11. Data reversibility
At the end of the contract, the Client may request, within 30 days, the export of their data in a standard format (CSV or JSON). Beyond this period, the data will be automatically deleted. More complex restitution (via API or custom processing) may be invoiced.
12. Subprocessors and international transfers
YUNO uses subprocessors for hosting, backups, email sending and Service usage analysis.
Some of them may be located outside the European Union.
In such cases, YUNO ensures their compliance through adequacy decisions or the European Commission’s Standard Contractual Clauses.
13. Functional changes
YUNO reserves the right to evolve the Service (interface, features, performance), notably for security, compliance or continuous improvement reasons. Major changes will be notified to the Client at least 30 days in advance if they impact the Service’s main features.
14. Limitation of liability
YUNO shall only be liable for direct, proven and foreseeable damages. YUNO’s total liability, all causes combined, is limited to the total amount received under the contract during the 12 months preceding the triggering event. YUNO shall in no event be liable for data loss, loss of revenue, or indirect damages.
15. Force majeure
YUNO shall not be liable in case of non-performance or delay caused by a force majeure event as recognized by French case law: war, natural disaster, fire, strike, pandemic, cyberattack, widespread cloud provider outage, etc. Obligations are suspended for the duration of the force majeure event.
16. Non-solicitation
The Client undertakes not to solicit or hire, directly or indirectly, any YUNO employee involved in the contractual relationship, for a period of 12 months after the end of the contract. In case of non-compliance, a penalty equivalent to 6 months of the concerned employee’s gross salary will be due by the Client.
17. Intellectual property
YUNO remains the sole holder of all intellectual property rights related to the platform, source code, documentation, interfaces and analyses generated by its tool.
18. Governing law – Jurisdiction
These GTC are governed by French law. Any dispute relating to their interpretation or execution shall be submitted to the exclusive jurisdiction of the courts of Paris, even in the event of multiple defendants.
